Terms of Service

Version 2026-10-20-draft1 · Last updated 20 October 2026

This is a draft. It has not yet been reviewed by a lawyer and will change before launch. Items in [square brackets] are still to be filled in.

The agreement between your company and FactoryPulse AI for using the FactoryPulse AI service.

1. Who these Terms are between

These Terms are between FactoryPulse AI ([LEGAL ENTITY NAME: to be added], "we", "us") and the company or person that creates an account ("you"). If you sign up for a company, you confirm you are allowed to accept these Terms for that company.

By creating an account, or by using the service, you accept these Terms, the Privacy Policy, the Acceptable Use Policy and the Refund and Cancellation Policy. If you do not accept them, do not use the service.

2. The service

FactoryPulse AI is a web service for manufacturers. It helps you record and see production, orders, inventory, machines and finance, and includes an AI Assistant that answers questions about your own data.

  • Production, orders, inventory and machine monitoring (machine monitoring needs optional hardware).
  • A read-only mirror of your accounting data from Tally, if you choose to connect it.
  • An AI Assistant that reads your data and answers questions. It does not change your data on its own.
  • Role-based access: you decide who in your company can see and do what.

3. Accounts and your people

  • Give us accurate information when you sign up and keep it up to date.
  • You are responsible for everything done under your company's accounts, including by people you invite.
  • Keep passwords safe. Tell us at once if you think an account was used without permission.
  • Invitations are single-use and expire. The Administrator of a company decides who is invited and what each person can access.

4. Free trial, plans and payment

Current plans, seat limits and prices are shown on our pricing page and at checkout. They can change for future billing periods; we will tell you before a change applies to you.

Payments are collected by Razorpay. We never see or store your card or bank details.

TopicHow it works
Free trialNew companies get a 14-day free trial of their chosen plan. You authorise automatic payment through Razorpay at the start, and nothing is charged during the trial.
Automatic paymentWhen you authorise it, each billing period is charged automatically on its due date, without a new approval each time. You can cancel it at any time.
Billing periodEach paid month (or year) is counted from the original due date. Days in which the account was read-only or locked because a payment was late are not credited back.
Tax invoicesWe are not registered for GST, so our invoices do not carry GST. If this changes, we will tell you and invoices will then show the tax as the law requires.

5. When a payment fails, a trial ends or a plan is cancelled

We never delete your data because of a payment problem. What changes is how much of the service you can use. "Read-only" means you can sign in and see, search and export your information, and use the AI Assistant to ask questions, but cannot add or change records. "Locked" means you can only reach the billing page until the account is paid up.

  • Paying at any stage restores full access straight away. The next billing period is counted from the original due date, as in section 4.
  • We send reminder emails to the company's Administrators as these dates approach.
  • Your data stays safe in all of these states. See the Privacy Policy for how long we keep it after an account ends.

6. Refunds and cancelling

You can cancel at any time. Refunds are described in the Refund and Cancellation Policy.

7. Your data

  • Your data belongs to you. This covers production, orders, inventory, machine readings, finance information and your AI conversations (together, "Your Content").
  • You give us permission to store and process Your Content only to run the service for you, to keep it secure, and to give you support.
  • We do not sell Your Content and we do not use it for advertising.
  • You are responsible for having the right to put Your Content, including personal data about your own staff and customers, into the service.
  • Records are not permanently deleted from the product. They are deactivated, cancelled or marked completed, so your history stays intact.

8. Support access to your account (Company View)

To help you, a FactoryPulse AI support administrator may need to look at your company's workspace, for example to find out why a report looks wrong. By accepting these Terms you agree to the following, and this acceptance is the consent we rely on.

  • Support access happens only through a special support session that is limited in time. It is never done by logging in as one of your employees or using their password or session.
  • The support administrator must record a reason before the session starts.
  • Every support session is written to a private audit log (who, when, why).
  • Support access exists to help you, to fix problems and to keep the service secure. It is not used to browse your data for any other purpose.
  • We record the version of these Terms you accepted and the time you accepted them.

9. Tally and other connected software

The Tally connection is read-only. FactoryPulse AI copies information out of Tally so you can see it here; it never writes back to Tally or changes your accounting books. Your Tally data is only as correct and as recent as the last successful copy, and may be delayed.

Tally is a trademark of its owner. We are not affiliated with, endorsed by or sponsored by the makers of Tally, and we use the name only to say what our software can connect to.

We also rely on services run by others, such as hosting, database, email, payment and AI providers (listed in the Data Processing Agreement). We do not control them and are not responsible for their outages.

10. The AI Assistant

  • The AI Assistant is a computer program. Its answers can be wrong, incomplete or out of date. Check anything important against your records before you act on it.
  • It is meant to help you analyse your own data. It is not professional advice (accounting, tax, legal, engineering or safety).
  • It reads your data to answer. It does not change your records on its own. Anything it sends or changes happens only after you confirm it, with one exception: if you switch it on yourself, it can send a Finance email you have asked for in that conversation, with the safeguards described in the product.
  • To answer, your question and the relevant data are sent to AI providers. The Privacy Policy explains which kinds of provider are used and how they handle that data.
  • You remain responsible for decisions you make using the service.

11. Acceptable use

You must follow the Acceptable Use Policy, which forms part of these Terms.

12. Availability and support

We work to keep the service running and will tell you about planned maintenance when we can. We do not promise that it will always be available or free of errors. [UPTIME COMMITMENT: to be agreed once monitoring is in place.]

Support: [SUPPORT EMAIL: to be added].

13. Our rights in the software

The software, design and brand belong to us and our licensors. You may use them only as part of the service. You may not copy the service, reverse engineer it, or use it to build a competing product.

If you send us ideas or feedback, we may use them without paying you.

14. Our responsibility to you

The service is provided "as is" and "as available". As far as the law allows, we are not responsible for indirect or consequential losses, such as lost profit or lost business, and our total responsibility for any claim is limited to the amount you paid us for the service in the 12 months before the claim.

Nothing in these Terms limits responsibility that the law does not allow to be limited.

15. Ending the agreement

  • You can cancel at any time (see section 5 and the Refund and Cancellation Policy).
  • We may suspend or end an account that breaks these Terms or the Acceptable Use Policy, or that puts the service or other customers at risk. Where we reasonably can, we tell you first.
  • After an account ends we keep your data for [RETENTION PERIOD: to be confirmed by lawyer], during which you can ask for an export. After that it is removed or anonymised as the Privacy Policy describes.

16. Changes to these Terms

We may update these Terms. For a material change we will email the company's Administrators and show a notice in the service before it applies. If you keep using the service after the change takes effect, you accept the new version. We keep a record of which version you accepted.

17. Governing law

These Terms are governed by the laws of India. The courts at [CITY: to be added by lawyer] have exclusive jurisdiction over disputes.
